Soil conditioning involve improving soil quality for plant growth and health, correcting the soil's deficiencies in structure and-or nutrients. It depends on climate and type of plants. Lime is added to make soil less acidic. Gypsum increases its nutritive value. Containing water-soluble nutrients, vermicompost utilizing various species of worms, is a nutrient-rich organic fertilizer and soil conditioner.

You will have to cover it. When we got sod recently for our backyard, we were told the grass roots need to penetrate 12 inches into the soil, so probably about 1 foot of soil. I'd just recommend breaking up the concrete, even if it is hard work.
